Terms of Service
Effective Date: September 9, 2026 · Last Updated: October 23, 2026 · Version: 2026-10-23
These Terms of Service (the "Terms") are a binding agreement between EHS Technologies LLC ("EHSTEC," "we," "us," or "our") and the organization and individuals ("you," "your," or "Customer") that access or use EHSTEC Safety and related services (collectively, the "Platform" or "Services"). By creating an account, starting a free trial, or otherwise accessing or using the Services, you agree to these Terms. If you do not agree, you must not use the Services.
These Terms govern standard self-service use of EHSTEC Safety, including free trials and self-service paid subscriptions. A separately negotiated written agreement (for example, a signed EHSTEC Service Agreement for Enterprise, custom, or procurement arrangements) may apply to specific organizations and, where it does, that agreement governs to the extent it conflicts with these Terms.
1. Definitions
- "Platform" means the EHSTEC Safety software, including its features, modules, dashboards, workflows, templates, reports, updates, and documentation.
- "Customer Data" means data you upload or enter into the Platform.
- "Authorized Users" means the individuals you authorize to access the Platform within your licensed quantities and applicable limits. Access and authority are governed by the permissions and role-based access controls configured within EHSTEC.
- "Full User" — an internal user who may manage aspects of your organization's safety program, subject to assigned permissions. Full classification alone does not grant administrator authority.
- "Field User" — an internal user who participates in assigned and field safety activities, subject to assigned permissions. A Field User is not limited to read-only access.
- "External User" — an authorized external participant, such as eligible contractor personnel, whose access is limited to the functionality made available to external participants. External Users are not Full Users or Field Users and carry no recurring license charge under the standard model.
2. Accounts & Authorized Users
You must be at least 18 years old and able to form a binding contract. You are responsible for your account, your Authorized Users, and all activity under your account, and for keeping login credentials confidential. Credentials must not be shared, and you must not permit access that exceeds your licensed user quantities or, during a trial, your trial allowances.
3. Free Trial
We may make an EHSTEC product available on a free trial. Unless we specify otherwise, the standard trial is:
- 30 days, with no credit card required;
- access to the standard EHSTEC product you are trialing (EHSTEC LMS or the EHSTEC Safety platform), not a deliberately reduced edition, with unlimited users (EHSTEC may approve different pilot or trial scopes);
- no automatic paid conversion and no automatic charge — starting a trial does not create a paid subscription or a 12-month commitment.
A trial expires at the end of the trial period unless extended by EHSTEC or converted to a paid subscription through the applicable process. Expiration of a free trial is not a termination of a paid subscription, and Customer Data is not automatically deleted when a trial expires; we handle any trial Customer Data in accordance with our then-current practices and applicable law.
4. Products, Subscriptions & Term
EHSTEC LMS Lite is a free tier governed by these Terms: it is founder-provisioned and employer-invited (no public self-service signup), includes one free administrator, and carries no subscription or billing.
Paid products are governed by the EHSTEC Service Agreement, not by these Terms. Standard flat pricing for paid products is:
| Product | Annual | Monthly |
|---|---|---|
| EHSTEC LMS — unlimited learners | $1,200 / year | $150 / month |
| EHSTEC SMS — unlimited users; includes EHSTEC LMS | $4,200 / year | $400 / month |
| EHSTEC LMS Lite | Free | Free |
Paid products include unlimited employees and learners at no additional per-user charge. EHSTEC AI and other optional add-ons may be offered separately and are not included in the prices above (see §10). Fees are exclusive of applicable taxes.
Annual paid subscriptions are a prepaid 12-month term and renew for successive 12-month terms unless either party provides written notice of non-renewal at least 30 days before the end of the then-current term. Monthly paid subscriptions are billed month-to-month — Customer may cancel at any time, effective at the end of the current monthly billing period, with no 12-month commitment. Paid activation is demo-led and requires a payment card. The full term, renewal, cancellation, and payment provisions are set out in the EHSTEC Service Agreement.
Existing customers on a prior commercial arrangement (including prior per-seat Full/Field pricing or month-to-month billing) remain governed by the agreement they accepted; these revised commercial terms apply to new paid subscriptions under the EHSTEC Service Agreement.
5. Product Changes
- Unlimited users: paid products include unlimited employees and learners; there are no per-seat quantity or user-class changes or charges.
- Upgrades: an organization may upgrade in place (LMS Lite → EHSTEC LMS → EHSTEC SMS), preserving its data, users, learners, and records. Paid upgrades are demo-led; any upgrade, proration, and commitment effects are governed by the EHSTEC Service Agreement.
- Downgrades & price changes: product-tier downgrades and prospective standard price changes take effect at renewal, subject to applicable notice, as set out in the EHSTEC Service Agreement.
6. Fees, Payment & Suspension
Paid fees are due in advance for the applicable billing cycle. If a paid amount is overdue by more than fourteen (14) days, EHSTEC may suspend operational access after notice. Outstanding fees remain payable. Except as expressly stated in these Terms or the applicable EHSTEC Service Agreement, fees are non-refundable.
7. License & Acceptable Use
Subject to these Terms and (for paid subscriptions) payment of applicable fees, EHSTEC grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Platform for your internal business operations, in accordance with your user classes and quantities. You shall not: exceed your licensed user quantities or trial allowances; circumvent External-User eligibility or access rules; share login credentials; copy, modify, reverse engineer, or create derivative works; resell, lease, sublicense, or distribute the Platform; or use the Platform for unlawful or fraudulent purposes.
8. Safety Responsibility & No Compliance Guarantee
EHSTEC Safety is a record-keeping, workflow, management, training, and safety-program support tool. Use of EHSTEC does not guarantee compliance with OSHA or any federal, state, or local regulation, industry standard, or other legal or regulatory requirement.
You remain solely responsible for:
- workplace safety;
- regulatory compliance and determining the requirements applicable to you;
- the accuracy and completeness of Customer Data;
- evaluating hazards and risks;
- training employees and implementing and enforcing safety procedures;
- reviewing EHSTEC outputs before relying upon them.
EHSTEC does not assume control over your workplace or your safety program.
9. No Professional Advice
Information, workflows, templates, reports, AI output, training content, recommendations, and other Platform content are provided for informational and program-support purposes and are not a substitute for professional safety judgment or for legal, regulatory, engineering, medical, or other qualified professional advice where required. You must independently evaluate whether any information is appropriate for your workplace and circumstances.
10. EHSTEC AI
Where EHSTEC AI is available, it is an optional, separately priced capability. AI output may be incomplete or inaccurate. You must review AI-generated output before relying on it. EHSTEC AI does not make compliance determinations for you and does not replace qualified safety, legal, or other professional judgment. We do not warrant the accuracy of AI output.
11. Warranties & Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION OR ANY SPECIFIC REGULATORY OR COMPLIANCE OUTCOME.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EHSTEC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR REGULATORY PENALTIES, ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM. EHSTEC'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY CUSTOMER TO EHS TECHNOLOGIES LLC IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, SUBJECT TO ANY EXCEPTIONS REQUIRED BY LAW.
13. Indemnification
You will indemnify, defend, and hold harmless EHS Technologies LLC from and against any claims, damages, fines, penalties, or legal fees arising from or related to: your workplace incidents; your regulatory violations or actions; Customer Data; your misuse of the Platform; your breach of these Terms; and employee, contractor, or other third-party claims attributable to your operations or misuse of the Platform.
14. Data Ownership, Privacy & Export
You own your Customer Data. EHS Technologies LLC owns the Platform and all related intellectual property, and may use aggregated, de-identified usage data to operate and improve the Services. Your use of the Services is also governed by our Privacy Policy; acknowledging the Privacy Policy is not the same contractual act as accepting these Terms.
Upon termination of a paid subscription, you will have 30 days of read-only access to export Customer Data, where technically available and subject to applicable legal and security requirements, after which EHSTEC may delete Customer Data. As stated in §3, expiration of a free trial is not a paid termination and does not trigger this paid-termination export/deletion sequence.
15. Intellectual Property
All rights in the Platform and its content belong to EHS Technologies LLC. You receive no ownership rights by using the Services other than the limited license in §7.
16. Confidentiality
Each party will protect the other's non-public, proprietary, or confidential information and use it solely for purposes of these Terms.
17. Termination
EHSTEC may suspend or terminate access for nonpayment, material breach, unauthorized use, or insolvency. Upon termination, your license ends and outstanding fees remain due; paid-subscription data export is governed by §14. Expiration of a free trial is governed by §3 and is not a termination under this section.
18. Electronic Acceptance & Authority
Electronic acceptance of these Terms is permitted and binding. By accepting electronically (for example, through the EHSTEC signup or activation process), the individual accepting represents that they are authorized to bind the organization to these Terms. EHS Technologies LLC may retain evidence of acceptance, which may include the agreement version, the accepting user's identity, a timestamp, IP address, user agent, and related audit metadata. A handwritten signature is not required for standard self-service signup.
19. Changes to These Terms
We may update these Terms from time to time and will update the "Effective Date" and "Last Updated" above. Material changes may be represented by a new version of these Terms and may require renewed acceptance; continued use after an update constitutes acceptance of the updated Terms except where renewed acceptance is required.
20. Governing Law & General
- Governing Law: the State of Connecticut, without regard to its conflict-of-laws rules.
- Severability: if any provision is held unenforceable, the remaining provisions stay in effect.
- Entire Agreement: these Terms (together with any applicable order or separately negotiated agreement) are the entire agreement regarding the Services and supersede prior understandings on that subject.
- Amendments: except for updates under §19, changes to these Terms must be in writing.
- Assignment: you may not assign these Terms without our prior written consent; we may assign in connection with a merger, acquisition, or sale of assets.
- Force Majeure: neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disasters, internet or cloud-provider outages, and cyber incidents.
